Sosh Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Actlink LLC, a Delaware company ("Sosh," "we," "us," or "our"), governing your access to and use of Sosh, the sosh.bio website, the creator pages we host, and the links, forms, petitions, fundraising hand-offs, and tools made available through them (collectively, the "Services").

By creating an account, clicking a link, submitting a form, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

These Terms apply to two groups:

  • Creators — those who create an account to build and manage a Sosh page.
  • Visitors — those who view a Creator's page or interact with its links, petitions, and forms.

Sections that apply only to Creators are marked accordingly.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a Creator account, and at least 13 years old to interact with the Services as a Visitor. In addition, any donation or fundraising action initiated through the Services requires you to be at least 18 years old and legally eligible to make the contribution under applicable law; such contributions are processed by third-party platforms subject to their own eligibility requirements. By using the Services, you represent that you meet these requirements and that any information you provide is accurate.

2. The Services

Sosh provides a hosted platform that lets Creators publish a single page of links, run petitions, collect subscribers, display media-kit information, and direct supporters to third-party fundraising platforms. Sosh also provides Creators with engagement analytics and aggregate audience insights.

Sosh is a technology provider. We are not a political committee, campaign, fundraiser, or financial intermediary. We do not solicit, collect, hold, or process donations. Donations are made through independent third-party platforms (such as ActBlue or GiveButter) under their own terms. We do not endorse any Creator, cause, candidate, campaign, or message published through the Services.

We may add, change, suspend, or discontinue features at any time.

3. Accounts (Creators)

  • You are responsible for the information you provide and for all activity under your account.
  • You must keep your credentials confidential and notify us promptly of any unauthorized use.
  • You may connect third-party accounts (such as social platforms). You authorize us to access and use information from those accounts as needed to provide the Services, subject to the third party's terms, and you may disconnect them at any time.
  • We may suspend or terminate accounts that violate these Terms or that we reasonably believe create legal or security risk.

4. Your Content and License (Creators)

"Creator Content" means anything you submit, upload, configure, or publish through the Services, including links, page text, images, petitions, fundraising settings, and contact lists.

  • You retain ownership of your Creator Content.
  • You grant Sosh a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute Creator Content solely as needed to operate and provide the Services and as described in the Privacy Policy.
  • You represent that you own or have all rights necessary to submit your Creator Content and to grant this license, and that your Creator Content does not infringe or violate any third party's rights or any law.

5. Contact Data and Lists (Creators)

This Section is important. When you upload, import, or collect email addresses or other contact information through the Services, you represent and warrant that:

  • You have a lawful basis and all necessary consents and permissions to collect that information and to have it processed through the Services for the purposes you direct.
  • You will provide and honor your own privacy notices and any required opt-out/unsubscribe mechanisms with respect to your supporters.
  • You will not upload, transmit, or process contact information in violation of any applicable law (including anti-spam, telemarketing, consumer-protection, and data-protection laws) or any third party's rights.
  • You will use information collected through the Services only for lawful purposes consistent with the disclosures made to the individuals at the point of collection.

As between you and Sosh, you are the controller of the contact data you provide and you are solely responsible for its legality. Sosh processes that data on your behalf to provide the Services, and may also use it as described in the Privacy Policy. You agree to indemnify Sosh as set out in Section 12 for claims arising from contact data you provide or your use of it.

6. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Services for any unlawful, fraudulent, deceptive, harassing, or harmful purpose.
  • Impersonate any person or organization, or misrepresent your affiliation, identity, or the source of funds or messaging.
  • Upload or distribute malware, or interfere with, disrupt, probe, or attempt to gain unauthorized access to the Services or related systems.
  • Scrape, harvest, or collect data from the Services except as expressly permitted.
  • Send unsolicited or unlawful communications, or violate anti-spam or election laws.
  • Post content that is defamatory, obscene, infringing, that incites violence, or that violates the rights of others.
  • Circumvent usage limits, security features, or access restrictions.
  • Misrepresent the recipient, purpose, or destination of any donation or the role of Sosh.

We may investigate and take action — including content removal, suspension, or termination, and cooperation with law enforcement — for any suspected violation.

7. Petitions, Forms, and Fundraising Hand-offs

  • Petitions and forms. Creators are responsible for the accuracy and legality of their petitions and forms and for honoring any representations made to signers and subscribers.
  • Fundraising. Fundraising "buttons" and links direct Visitors to third-party platforms. Sosh does not process donations. Any payment, donor information, receipts, refunds, recurring billing, and compliance with campaign-finance and consumer-protection law are handled by the applicable third-party platform and the recipient of funds. We are not responsible for those platforms, the use of funds, or the conduct of any Creator or recipient.
  • Visitor acknowledgment. When you donate, you transact with a third-party platform and the named recipient — not with Sosh — under their terms and privacy policies.

8. Third-Party Services and Links

The Services integrate with and link to third-party services (including hosting, authentication, email delivery, social platforms, fundraising platforms, and others). We do not control and are not responsible for third-party services or content, and your use of them is governed by their own terms and privacy policies.

9. Intellectual Property (Sosh)

The Services, including their software, design, text, graphics, and the "Sosh" and "Actlink" names and logos, are owned by Actlink LLC or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Services except as permitted by law.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share information, and which is incorporated into these Terms by reference.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY ANALYTICS, INSIGHTS, MATCH RATES, OR PROJECTIONS WILL BE ACCURATE OR RELIABLE. AUDIENCE INSIGHTS ARE ESTIMATES PROVIDED FOR INFORMATIONAL PURPOSES ONLY.

12. Indemnification

You will defend, indemnify, and hold harmless Actlink LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Creator Content or contact data you provide; (b) your use of the Services; (c) your violation of these Terms or any law; or (d) your violation of any third party's rights.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOSH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) [US $100]. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

14. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Services. Upon termination, the rights granted to you end, and Sections that by their nature should survive (including Sections 4–5, 9, 11–13, and 15) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of [Delaware / CONFIRM], without regard to conflict-of-laws rules. We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and provide notice as appropriate. Your continued use of the Services after an update means you accept the revised Terms.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Sosh regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
